If you use the Services on behalf of a business or other organization, you represent that you have authority to accept these Terms on its behalf.

Acceptance of these Terms does not itself constitute consent to receive marketing text messages. SMS consent is collected separately as described below.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use or purchase the Services.
If you are using the Services on behalf of a company, organization, or other legal entity, you represent that you have authority to act on behalf of that entity.

Sysvant is a trade name and DBA of HAMETRO MEDIA LLC.
Sysvant provides business systems, technology implementation, automation, marketing, and related professional services.
Services may include, depending on the applicable engagement:

- AI receptionist and conversational AI systems

If a separate written agreement applicable to purchased Services conflicts with these Terms, the specific written agreement will control with respect to that conflict.
4. Changes to These Terms

Changes become effective when posted unless otherwise stated.

When you communicate with Sysvant or provide contact information, we may communicate with you through channels appropriate to your request and the permissions you have provided.

Where Sysvant offers both marketing and non-marketing SMS communications, consent may be collected separately for those categories.
Message Frequency
Message frequency varies based on your interactions with Sysvant, the Services you request, your appointment activity, and the messaging programs to which you have opted in.
Some communications may be recurring.
Message and Data Rates
Message and data rates may apply to messages sent to you from Sysvant and messages you send to Sysvant.
Your mobile carrier determines the rates that apply to your wireless plan.
If you have questions about your text or data plan, contact your wireless provider.
How to Opt Out
You can cancel SMS communications at any time by replying STOP to a message from Sysvant.
After you send STOP, we may send you a confirmation message notifying you that you have been unsubscribed.
After your opt-out is processed, you will no longer receive messages covered by that opt-out unless you later provide consent again.
If you want to receive messages again, you may opt in again through an available Sysvant consent method.

Carrier Liability
Carriers are not liable for delayed or undelivered messages.
Delivery of SMS and MMS communications is subject to effective transmission by your wireless carrier and other telecommunications providers and is outside Sysvant's complete control.
Supported Carriers and Devices
Messaging functionality may depend on your mobile carrier, device, geographic location, and telecommunications service.
Not all features may work on all carriers or devices.
Privacy
Your privacy is important to us.
Mobile information and SMS opt-in consent are handled according to our Privacy Policy.
No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

10. Email Communications
If you provide your email address, Sysvant may use it to:
- Respond to your inquiries
- Deliver requested information
- Communicate about appointments
- Communicate regarding Services

Marketing emails will provide an appropriate method for unsubscribing where required.
Unsubscribing from marketing emails does not prevent Sysvant from sending necessary transactional, billing, security, account, legal, or service-related communications.

We do not acquire ownership of your business materials merely because you provide them to us.
12. Feedback
If you voluntarily provide suggestions, ideas, comments, or feedback about Sysvant or our Services, you authorize us to use that feedback to improve, develop, and operate our business and Services without compensation to you.
This provision does not give us ownership of your confidential business information, customer data, or materials provided for a customer engagement.
13. Reviews, Testimonials, and Public Content
If you voluntarily publish a review, testimonial, social media comment, or other public statement about Sysvant, we may reference or display that public content where legally permitted.
We will not represent that you endorse Sysvant beyond what you actually stated.
Private information, confidential project information, or non-public business results will not be converted into a public case study merely because they were provided to us during a customer relationship.
Where specific authorization is required, we will request it.
14. Intellectual Property
The Sysvant website, brand materials, text, graphics, designs, software, layouts, processes, documentation, trademarks, logos, and other materials made available by Sysvant may be protected by copyright, trademark, trade secret, or other intellectual property laws.

Sysvant does not control third-party:

16. Artificial Intelligence and Automated Systems
Some Sysvant Services may incorporate artificial intelligence, machine learning, automated workflows, conversational AI, or third-party AI technology.
AI-generated responses and outputs may occasionally be incomplete, inaccurate, or inappropriate for a particular situation.
AI-generated information should not be treated as legal, medical, financial, tax, or other regulated professional advice unless it is separately provided by an appropriately qualified professional.
Appropriate human review may be necessary depending on the use case.
We do not guarantee that automated or AI-generated outputs will be error-free.
17. Purchases and Orders
When you purchase Services, you agree to provide accurate billing and contact information.
Before completing a purchase, you are responsible for reviewing the applicable:

Sysvant generally receives transaction confirmations and related payment records rather than complete payment-card credentials.
If a payment is declined or fails, Sysvant is not required to begin or continue affected paid Services until valid payment is received.
20. Recurring Services and Automatic Payments
Certain Sysvant Services may be offered on a recurring basis.
Where automatic billing applies, the recurring amount, billing frequency, and applicable cancellation terms will be disclosed before or as part of your purchase.
By authorizing recurring billing, you authorize the applicable payment provider to charge the approved payment method according to those terms.
Recurring Services continue until canceled according to the applicable purchase terms.
Cancellation prevents future renewal after the applicable cancellation becomes effective but does not automatically reverse charges properly incurred before cancellation.
21. Cancellations and Refunds
Cancellation and refund rights may differ depending on the Service purchased.
Where separate purchase terms, a proposal, statement of work, order form, or other written agreement specifies cancellation or refund conditions, those conditions control.
Unless otherwise stated:
Amounts paid for work already performed, reserved service capacity, purchased third-party services, approved expenses, or costs already incurred are non-refundable except where required by applicable law.
Cancellation does not eliminate amounts properly owed for Services already provided or authorized costs already incurred.
If Sysvant makes a billing error, contact us so that we can review and correct it where appropriate.
22. Marketing and Business Results
Sysvant may provide marketing, advertising, sales-system, automation, funnel, conversion, or growth-related Services.
Business performance depends on many factors beyond Sysvant's control.
Unless expressly stated in a written guarantee signed by Sysvant, we do not guarantee:
- A particular number of leads
- Revenue
- Profit
- Return on advertising spend
- Customer acquisition cost
- Conversion rates
- Search rankings
- Email deliverability
- SMS deliverability
- Sales performance
- Business growth
- Profitability
Examples, projections, testimonials, case studies, or past results do not guarantee future results.
23. Telecommunications and Marketing Compliance
When a customer uses Sysvant Services to communicate with that customer's own customers or prospects, that customer is responsible for ensuring it has the legal authority and required consent to conduct those communications.
Users of such Services are responsible for complying with applicable:
- Consent requirements
- Opt-in requirements
- Opt-out requirements
- Privacy requirements
- Marketing laws
- Telecommunications rules
- Sender-identification requirements
- Platform policies
You may not use Sysvant Services to send communications to people where you lack the required permission.
Sysvant may refuse, suspend, or discontinue implementation of messaging activity that we reasonably believe violates applicable law, carrier requirements, platform policies, or acceptable-use requirements.
24. Privacy
Your use of the Services is also subject to our Privacy Policy.
Our Privacy Policy explains how HAMETRO MEDIA LLC d/b/a Sysvant collects, uses, stores, and discloses personal information.

25. Security
We use commercially reasonable administrative and technical practices appropriate to the Services we provide.
However, no internet-connected service, software platform, transmission method, or data storage environment can be guaranteed to be completely secure.
You are responsible for taking reasonable measures to protect your own:

- Passwords
- Networks
- Authentication credentials
- Business information
You should notify Sysvant promptly if you become aware of unauthorized access affecting systems we manage for you.
26. Copyright and Intellectual Property Complaints

SYSVANT DOES NOT WARRANT THAT:

- ALL CONTENT WILL BE ERROR-FREE

For claims arising from paid Services, except for liability that applicable law does not permit us to limit, Sysvant's aggregate liability arising from the applicable purchase will not exceed the fees paid or payable to Sysvant for that purchase during the one-month period immediately preceding the event giving rise to the claim.
For claims arising solely from use of the public website where you have paid no fees to Sysvant, Sysvant's aggregate liability will not exceed $100.
These limitations do not apply where applicable law prohibits their application.
31. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless HAMETRO MEDIA LLC d/b/a Sysvant and its officers, employees, agents, and contractors against third-party claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from:

- Nonpayment

Termination does not eliminate obligations or liabilities that arose before termination.
Provisions that by their nature should continue after termination will survive, including provisions regarding intellectual property, payment obligations, disclaimers, limitations of liability, dispute resolution, and indemnification.
33. Governing Law
These Terms and disputes arising from them are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.
Before beginning formal litigation, the parties agree to make a reasonable good-faith effort to resolve the dispute directly.
Subject to applicable law, disputes that cannot be resolved informally will be brought in an appropriate state court located in Garrett County, Maryland, or the United States District Court for the District of Maryland, as applicable.
Each party consents to the jurisdiction of those courts.
34. Time Limit for Claims
To the extent permitted by applicable law, any claim arising out of or relating to these Terms or the Services must be commenced within one year after the claim arose.
If applicable law requires a longer period that cannot contractually be shortened, the legally required period will apply.
35. Export and Sanctions Compliance
Certain software, technology, or Services may be subject to U.S. export-control, economic sanctions, or trade laws.
You agree not to use, export, transfer, or make Services available in violation of applicable U.S. laws or regulations.
36. Assignment
You may not assign your rights or obligations under these Terms without our prior written consent where the assignment would materially affect Sysvant.
HAMETRO MEDIA LLC may assign these Terms in connection with a merger, acquisition, reorganization, financing, transfer of business operations, or sale of substantially all relevant assets.
37. Independent Relationship
Nothing in these Terms creates a partnership, joint venture, franchise, fiduciary relationship, agency relationship, or employment relationship between you and HAMETRO MEDIA LLC.
Neither party has authority to bind the other unless expressly authorized in writing.
38. Waiver
Failure to enforce any provision of these Terms does not waive the right to enforce that provision later.
Any waiver applies only to the specific circumstance for which it is given.
39. Severability

The remaining provisions will continue in effect.
40. Entire Agreement

A separate proposal, statement of work, order form, checkout agreement, or other written agreement may contain additional terms applicable to a particular purchase or engagement.
41. Electronic Communications
You agree that electronic communications, notices, approvals, and records may satisfy legal requirements that communications be in writing where permitted by applicable law.
This does not constitute consent to marketing SMS messages, which is governed by the separate consent requirements described above.
